PLEASE READ CAREFULLY BEFORE USING THIS PLATFORM
These Master Terms of Service ("Terms") govern your use of the SeekhoBecho.com platform, application, website, and all associated services operated by RLS Retail Private Limited. By accessing, registering on, or using the Platform — including subscribing to any plan — you agree to be bound by these Terms in full. If you do not agree, do not use the Platform. These Terms apply to all users: registered subscribers, guests, visitors, and any third party accessing the Platform in any capacity.

SECTION 1 · ABOUT SEEKHOBECHO AND THESE TERMS
1.1. Who We Are
SeekhoBecho.com is operated by RLS Retail Private Limited ("Company," "we," "us," or "our"), a company incorporated under the Companies Act, 2013, with its registered office at Plot-76-D, Phase IV, Udyog Vihar, Sector 18, Gurugram, Haryana – 122001, India. GSTIN: 06AAJCR4683G1Z3.
SeekhoBecho.com is India's integrated Skill + Sell + Win platform — combining digital commerce education, gamified engagement, subscription-based selling tools, and skill-based competitions. Our brand tagline: "Seekho → Becho → Jeeto." | "Real skill. Real products. Real prizes."
1.2. What These Terms Cover
These Terms govern:
(a) your use of the SeekhoBecho.com mobile application, website (www.seekhobecho.com), and all associated digital services;
(b) your subscription to any of our plans (Silver, Gold, Titanium, Elite, Platinum, Platinum Plus, or Diamond);
(c) your participation in the Pearl Economy, gamification features, games, and prize draws;
(d) your interaction with the Platform's courses, content, catalogue, and selling tools;
(e) any communication between you and SeekhoBecho.com through any channel.
1.3. Hierarchy of Documents
These Terms form the master agreement governing your relationship with SeekhoBecho.com. They are supplemented by:

By accepting these Terms, you are also deemed to have accepted the relevant plan agreement applicable to your subscription, all Platform Policies, and the Privacy Policy — as a single, integrated contractual framework.
1.4. Updates to These Terms
We may update these Terms at any time. Material changes will be notified via in-app notification, email, or website banner with seven (7) days' advance notice where feasible. Continued use of the Platform after the effective date of any update constitutes irrevocable acceptance of the updated Terms.
SECTION 2 · ELIGIBILITY AND ACCOUNT REGISTRATION
2.1. Eligibility
To use the Platform, you must: (a) be at least 18 years of age; (b) be of sound mind and legal capacity to enter into a binding contract; (c) be a resident of India (for most services) or have a valid IEC/business registration for international trade services (Platinum Plus Plan); (d) not be previously suspended or banned from the Platform; (e) not be subject to any legal restriction preventing you from entering into this agreement.
MINOR PROTECTION · The Platform and all its services — including gamification, Pearl Economy, and prize draws — are strictly for persons aged 18 years and above. Use by or on behalf of minors is prohibited. Any account found to be operated by a minor will be immediately terminated without refund.
2.2. Account Registration
To access subscription services, you must register an account providing: (a) valid mobile number (OTP-verified); (b) email address; (c) full legal name; (d) KYC documents as required by your plan. You are responsible for maintaining the accuracy and completeness of your account information at all times.
2.3. One Account Per Person
You may hold only one account on the Platform. Multiple accounts created by the same individual to exploit Pearl earn triggers, gamification benefits, referral rewards, or prize draws constitute fraud and will result in: permanent account termination, forfeiture of all Pearl balances and prizes, recovery of damages, and potential criminal proceedings under the Bharatiya Nyaya Sanhita, 2023.
2.4. Account Security
You are solely responsible for: (a) maintaining confidentiality of your login credentials; (b) all activities conducted under your account; (c) immediately notifying us of any unauthorized access at [email protected]. We will not be liable for any loss arising from unauthorized use of your account due to your failure to maintain credential security.
SECTION 3 · SUBSCRIPTION PLANS — OVERVIEW AND LINKS
3.1. Available Subscription Plans
SeekhoBecho.com currently offers the following subscription plans. Each plan is governed by a separate Plan Agreement linked to and subject to these Terms:

Plan-specific terms — pricing, deliverables, Pearl earn triggers, gamification tier, KYC requirements, and refund specifics — are set out in the respective Plan Agreement. In case of conflict, Plan Agreement governs plan-specific mechanics; these Master Terms govern all platform-wide obligations.
3.2. Subscription Acceptance — Deemed Acceptance of All Documents
By activating any subscription plan — through payment, OTP acceptance, KYC submission, or continued use — you irrevocably accept:
(a) these Master Terms of Service in full;
(b) the specific Plan Agreement for your chosen plan;
(c) Platform Policies 17–23 (Pearl Economy, Skill-Based Gaming, Gamification);
(d) the Privacy Policy and Cookie Policy published on the Platform;
(e) all future amendments to any of the above, as notified per the applicable update provisions.
Acceptance is whole, unconditional, and indivisible. You cannot selectively accept certain provisions while rejecting others.
3.3. No Guarantee of Business Outcomes
Subscription to any plan does not guarantee sales, orders, income, profit, website traffic, marketplace rankings, or any specific business result. We provide tools, content, catalogue access, and operational support — outcomes depend entirely on your own efforts and independent market factors.
SECTION 4 · PEARL ECONOMY — MASTER RULES
MANDATORY DISCLOSURE · PEARLS · SeekhoBecho Pearls have no monetary value and cannot be converted to cash or transferred outside the platform. Pearls are non-monetary, non-property, non-transferable, non-withdrawable internal engagement units. They do not constitute "other stakes," currency, prepaid instruments, or financial assets of any kind.
4.1. What Are Pearls?
Pearls are SeekhoBecho's internal engagement currency — digital points credited to your Pearl Wallet(s) when you complete eligible Platform activities (course modules, daily logins, product shares, referrals, etc.) and redeemable against eligible Platform benefits (gamification entries, renewal discounts, bonus product slots, etc.).
4.2. What Pearls Are NOT
• Pearls are NOT money, legal tender, currency, or any monetary equivalent.
• Pearls are NOT prepaid instruments, wallets, or stored value within the meaning of the RBI Act, the Payment and Settlement Systems Act, or any other financial regulation.
• Pearls are NOT property — you hold no ownership right, title, or interest in Pearls.
• Pearls are NOT transferable — you cannot gift, sell, lend, or trade Pearls to any other person or entity.
• Pearls are NOT redeemable for cash, bank transfer, UPI payment, or any monetary equivalent at any time.
• Pearls are NOT an investment or income-generating asset.
4.3. Company's Absolute Rights Over Pearls
We may, at any time and without notice or compensation: (a) modify Pearl earn rates for any activity; (b) add, modify, or remove any Pearl redemption option; (c) impose bulk Pearl expiry or system-wide resets; (d) claw back Pearls earned through fraud, manipulation, or violation of these Terms; (e) reduce, suspend, or permanently eliminate Pearl balances as a consequence of breach. No compensation is payable on any Pearl modification, expiry, clawback, or removal.
4.4. Pearl Wallets
Depending on your plan, you may hold one or more Pearl Wallets. Multiple wallets (applicable to Platinum, Platinum Plus plans) are never merged — they operate independently with separate earn triggers, spend options, and expiry rules as specified in your Plan Agreement.
4.5. Pearl Expiry
Pearl expiry rules vary by plan and Pearl type (bonus activity Pearls, order-confirmed Pearls, achievement Pearls). General rule: Pearls expire on plan expiry. Specific expiry timelines are set out in the applicable Plan Agreement and Platform Policies 17–23. Expired Pearls are permanently forfeited — no restoration, no compensation.
4.6. Pearl Recharge
You may purchase additional Pearls through Pearl Recharge (paid top-up) as per the rate card in your Plan Agreement. Pearl Recharges are non-refundable. Recharged Pearls are subject to the same lifecycle, expiry, and forfeiture rules as earned Pearls. Pearl Recharges do not create any monetary entitlement or investment.
SECTION 5 · GAMIFICATION, GAMES, AND SKILL-BASED COMPETITION
5.1. Skill-Based Classification
All games, competitions, draws, and gamification features on the SeekhoBecho.com Platform are skill-based activities within the meaning of the Public Gambling Act, 1867. Outcomes are determined by skill, knowledge, strategy, engagement, timing, and effort — not by chance. No game on this Platform constitutes gambling, wagering, or a chance-based competition.
PROG Act, 2025 Classification: All gamification features on the SeekhoBecho.com Platform constitute "Online Social Games" within the meaning of the Promotion and Regulation of Online Gaming Act, 2025 and PROG Rules, 2026 (effective 1 May 2026). No feature constitutes an "Online Money Game" as defined under the PROG Act. Pearls earned in or redeemable for gamification do not constitute "other stakes" within Section 2(x) of the PROG Act.
5.2. Available Gamification Features
The Platform offers the following gamification features, subject to your plan tier and eligibility:

5.3. Gamification Rules — General
• All gamification outcomes are server-validated before Pearl credit or prize confirmation.
• The Company maintains minimum prize pool margins to ensure platform sustainability.
• Game formats, prize values, entry costs, and draw schedules are subject to modification per these Terms.
• Anti-fraud monitoring is active across all gamification features. Any manipulation attempt results in immediate account termination and forfeiture.
• Pearl costs for gamification entries do not constitute monetary stakes, wagers, or financial investments.
5.4. Annual Maha Jackpot — Activity Milestone Entry Matrix
The Annual Maha Jackpot (31 December each year) is accessible exclusively through the following activity milestone matrix. No paid Pearl entry is available for the Maha Jackpot under any plan:

Revenue is derived exclusively from subscription fees. The Maha Jackpot is a subscriber retention and marketing initiative. Prize disbursement is subject to KYC clearance and applicable TDS deduction under Section 194B of the Income Tax Act, 1961.
5.5. Prize Claims and TDS
Prize winnings exceeding ₹10,000 per draw attract TDS under Section 194B of the Income Tax Act, 1961. PAN is mandatory for all claims above this threshold. Prize KYC window: 72 hours (Maha Jackpot); 48 hours (all other prizes). Non-compliance within the window results in automatic, permanent prize forfeiture. No restoration. Prize delivery committed within the Subscriber's active Effective Term from KYC clearance.
5.6. Anti-Stacking Rules
Plan tier entitlements (RKI entries, Lucky Hour multiplier) are non-stackable. Bundle subscribers receive the higher tier entitlement — not the sum of both plans. Example: Platinum Plus + Gold bundle → 8 RKI entries (not 8+1=9). Stacking is permanently prohibited to maintain prize pool margin integrity.
SECTION 6 · THE SEEKHOBECHO DOLL
6.1. Platform Mascot Character
The SeekhoBecho Doll is the Platform's proprietary animated companion character, available in female (Pearl Fairy) and male (Celestial Prince) avatar versions. The Doll serves as SeekhoBecho's silent brand ambassador and in-app guide — appearing throughout the app and website to assist, celebrate milestones, and guide users through Platform features.
6.2 The SeekhoBecho Doll is a fictional character. It is NOT an AI agent, chatbot, automated advisory tool, or virtual assistant. Any guidance, animation, or display by the Doll character is for informational and engagement purposes only and does not constitute professional, financial, legal, or business advice.
6.3 Physical SeekhoBecho Doll soft toys are available as prizes through the Platform's gamification system. Physical toys are subject to availability and delivery terms as notified at the time of prize announcement.
6.4 All intellectual property rights in the SeekhoBecho Doll character — including its design, name, avatar versions, animations, physical form, and all derivative works — are exclusively owned by RLS Retail Private Limited. No licence to reproduce, commercialise, or distribute the Doll character is granted under these Terms.
SECTION 7 · INTELLECTUAL PROPERTY
7.1. Company IP
All content, materials, and systems on this Platform — including but not limited to: platform code and algorithms; course content and curriculum; product catalogues and pricing data; gamification systems and Pearl Economy architecture; brand name, logo, taglines, and visual identity; the SeekhoBecho Doll character (all forms); SOPs, listing methodologies, and operational frameworks; all written, visual, audio, and digital content — are the exclusive property of RLS Retail Private Limited, protected under applicable Indian and international intellectual property laws.
7.2. Limited Licence
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the Platform and its content strictly for your personal subscription purposes during your active subscription period. This licence does not permit: reproduction, redistribution, resale, or commercial exploitation of any Platform content; creation of derivative works; reverse-engineering of any Platform feature; or sub-licensing.
7.3. Your Content
By submitting any content (reviews, testimonials, business data, images) to the Platform, you grant us a perpetual, royalty-free, worldwide licence to use such content for Platform operation, marketing, and promotional purposes. You represent that you own or have the necessary rights to submit such content.
7.4. IP Infringement
Report any suspected infringement of our IP to [email protected]. We reserve the right to take legal action against any unauthorized use of our intellectual property without notice.
SECTION 8 · USER CONDUCT AND PROHIBITED ACTIVITIES
8.1. Acceptable Use
You may use the Platform only for lawful, personal, and legitimate commercial purposes consistent with these Terms and applicable law.
8.2. Prohibited Activities
You must NOT:
• Create multiple accounts or use another person's account without authorization;
• Use automated tools, bots, scripts, or software to simulate logins, shares, Pearl earn events, or any Platform activity;
• Manipulate, exploit, or attempt to circumvent any Pearl Earn Trigger, gamification feature, or referral system;
• Submit false, forged, or misleading KYC documents or account information;
• Use the Platform for any illegal, fraudulent, or deceptive activity;
• Reproduce, resell, or redistribute any Platform content, catalogue, or course material;
• Screen-record Platform content for redistribution without written consent;
• Attempt to reverse-engineer, decompile, or extract the source code of any Platform feature;
• Interfere with Platform security, integrity, or availability;
• Post, share, or transmit abusive, defamatory, obscene, or unlawful content through the Platform;
• Impersonate SeekhoBecho, its agents, or any other user;
• Use the Platform to solicit other users for competing products or services;
• Claim monetary value for Pearls, represent Pearls as money, or attempt Pearl-to-cash conversion outside the Platform;
• Represent any gamification feature as gambling, wagering, or chance-based to any third party.
8.3. Consequences of Prohibited Conduct
Violation of this Section may result in: (a) immediate account suspension or termination without notice or refund; (b) permanent forfeiture of all Pearl balances and prizes; (c) recovery of damages and legal costs; (d) reporting to law enforcement; (e) criminal proceedings under the Bharatiya Nyaya Sanhita, 2023 or other applicable laws.
SECTION 9 · PAYMENTS, BILLING, AND ABSOLUTE NO-REFUND POLICY
9.1. Payment Terms
All subscription fees, Pearl Recharge amounts, Add-On service fees, support ticket fees, consulting fees, and any other amounts payable on the Platform must be paid in full in advance via approved payment methods (UPI, NEFT, RTGS, credit/debit card, net banking). We will issue electronic invoices for all transactions. GST at 18% is applicable on all fees unless stated otherwise.
9.2. Absolute No-Refund Policy
ALL PAYMENTS MADE TO SEEKHOBECHO.COM ARE STRICTLY AND ABSOLUTELY NON-REFUNDABLE. This applies without exception to:
• Annual and monthly subscription fees for all plans;
• Pearl Recharge amounts;
• Add-On service fees;
• Support ticket issuance and resolution fees;
• Consulting and advisory session fees;
• Change request fees;
• KYC re-verification fees;
• Any other amount paid for any service, feature, or benefit on the Platform.
No refund shall be issued regardless of: (a) whether services were used or not; (b) dissatisfaction with outcomes; (c) change of mind; (d) platform modifications; (e) regulatory changes; (f) account suspension for breach; or (g) any other reason whatsoever.
9.3. No Free Trial · No Cooling-Off Period
No plan on the Platform offers a free trial, complimentary access period, or cooling-off period of any kind. By making payment, you irrevocably confirm your purchase.
BHARATIYA NYAYA SANHITA NOTICE: Attempting to obtain refunds through false means — including fraudulent chargebacks, false consumer complaints, or misrepresentation — constitutes an offence under Sections 318 and 319 of the Bharatiya Nyaya Sanhita, 2023 (cheating and dishonestly inducing delivery of property). We will pursue all such cases through appropriate legal channels without exception.
9.4. Statutory Disclosures — Four Mandatory Declarations
(i) SeekhoBecho Pearls have no monetary value and cannot be converted to cash or transferred outside the platform.
(ii) All contests are promotional in nature under the Consumer Protection Act, 2019. No separate payment is required to participate.
(iii) 1v1 Skill Challenges are skill-based competitions. Entry fees cover platform operational costs only and do not constitute stakes or wagers.
(iv) Coupons are non-transferable, non-cashable, and valid only for SeekhoBecho platform purchases.
9.5. Auto-Renewal Advance Notice: In compliance with the Consumer Protection Act, 2019, we will send you a renewal reminder notification at least seven (7) days before your subscription auto-renewal date via in-app notification, email, and/or WhatsApp. The reminder will confirm: (a) your renewal date; (b) the applicable renewal fee; and (c) instructions to disable auto-renewal if you do not wish to continue. If you do not disable auto-renewal before the renewal date, your subscription will automatically renew and the fee will be charged. Post-renewal refund requests are not accepted. To disable auto-renewal: go to Account Settings → Subscription → Manage → Turn Off Auto-Renewal.
SECTION 10 · THIRD-PARTY PLATFORMS AND SERVICES
10.1. Third-Party Platforms
Our services facilitate your use of third-party platforms including Amazon.com, Amazon.in, Meesho, Flipkart, Facebook, Instagram, WhatsApp, Shopify, WooCommerce, and others ("Third-Party Platforms"). Use of these platforms is governed by their own terms and policies — which you are responsible for reading and complying with.
10.2. No Affiliation
We are not affiliated with, endorsed by, or a representative of any Third-Party Platform. We have no control over Third-Party Platform policies, pricing, account decisions, suspensions, or feature changes.
10.3. Our Liability Exclusion
We are not liable for: (a) your account suspension, ban, or restriction on any Third-Party Platform; (b) changes to Third-Party Platform policies affecting your selling capability; (c) payment processing delays or failures on Third-Party Platforms; (d) technical issues on Third-Party Platforms; (e) losses arising from Third-Party Platform decisions.
10.4. Platform as Intermediary (IT Act 2000 — Section 79 Safe Harbour): SeekhoBecho.com operates as an intermediary within the meaning of the Information Technology Act, 2000 (as amended) with respect to third-party content published on or through the Platform. The Company is not the originator or publisher of third-party user-generated content and is not liable for such content under Section 79 of the IT Act, provided the Company acts with due diligence and in accordance with the prescribed guidelines. Any claims regarding third-party content should be directed to the Grievance Officer.
SECTION 11 · PRIVACY AND DATA PROTECTION (DPDP ACT 2023)
11.1. Data Processing
We process your Personal Data in accordance with the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and applicable data protection laws. Our full Privacy Policy is available at www.seekhobecho.com/privacy.
11.2. Data We Collect
We collect: name, mobile number, email, Aadhaar (last 4 digits only), PAN (masked), GSTIN, bank account details (masked), IEC (where applicable), delivery address, device identifiers, app usage data, and gamification/Pearl activity data.
11.3. Purpose of Processing
Data is processed for: account management; KYC verification; subscription delivery; Pearl Economy operation; gamification and prize disbursement; course delivery; customer support; regulatory compliance; analytics and platform improvement.
11.4. Your Rights
Under the DPDP Act, 2023, you have the right to: access your personal data; correct inaccurate data; request deletion (subject to legal retention requirements); withdraw consent (subject to consequences on service continuity); and raise data-related grievances. 11.5. Data Localisation and Breach Notification
All data is processed and stored within India. In the event of a material data breach, we will notify the Data Protection Board within 72 hours and affected users as required by law.
SECTION 12 · PLATFORM AVAILABILITY AND MODIFICATIONS
12.1. No Uptime Guarantee
While we strive to maintain consistent Platform availability, we do not guarantee uninterrupted, error-free access. The Platform may be temporarily unavailable for maintenance, upgrades, technical issues, or force majeure events. Planned maintenance will be notified in advance where feasible.
12.2. Right to Modify
We reserve the right to modify, add, suspend, or remove any Platform feature, gamification mechanic, Pearl earn trigger, redemption option, game format, subscription benefit, or service element at any time, with or without prior notice. No modification creates a right to refund or compensation. Continued use constitutes acceptance.
12.3. Regulatory Adaptation
Where any new law, regulation, rule, or guideline renders any Platform feature, mechanic, or provision non-compliant or restricted, such feature/provision shall be automatically modified, suspended, or removed to the extent required for compliance, without obligation to issue formal notice or compensation. You are automatically bound by all such regulatory-driven changes.
12.4. Regulatory Force Majeure
Where any new regulation renders our continued provision of any core service unlawful or commercially impracticable ("Regulatory Termination Event"), your subscription agreement may terminate automatically on that date — with zero liability to us, no refund, and all Pearl balances lapsing. Our determination of a Regulatory Termination Event is final.
SECTION 13 · LIABILITY AND DISCLAIMERS
13.1. Limitation of Liability
To the maximum extent permitted by applicable law, our total cumulative liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the subscription fee you actually paid to us in the three (3) months immediately preceding the event giving rise to the claim.
13.2. Exclusion of Consequential Loss
We are not liable for: loss of profits, revenue, or business; loss of data; loss of goodwill; indirect, special, incidental, or consequential damages — even if we have been advised of the possibility of such losses.
13.3. As-Is Service
The Platform is provided on an "as-is" and "as-available" basis. We make no warranties — express or implied — of merchantability, fitness for any particular purpose, or non-infringement.
SECTION 14 · INDEMNIFICATION
14.1. Subscriber Indemnity
You shall indemnify, defend, and hold harmless the Company and its directors, officers, employees, agents, and partners from and against any claims, damages, penalties, fines, costs, and legal expenses arising from: (a) your breach of these Terms or any Plan Agreement; (b) your violation of applicable law; (c) your conduct on any Third-Party Platform; (d) your fraud, misrepresentation, or negligence; (e) infringement of third-party IP; (f) any consumer complaint or regulatory action relating to your business operations using our Platform.
SECTION 15 · REGULATORY COMPLIANCE — PROG ACT 2025
15.1. PROG Act Declaration
The Promotion and Regulation of Online Gaming Act, 2025 ("PROG Act") and PROG Rules, 2026 (effective 1 May 2026) regulate online gaming in India. The Company makes the following declarations in compliance with the PROG Act:
(a) SeekhoBecho.com is a subscription-based digital commerce, education, and gamification platform. Its gamification features constitute "Online Social Games" within the meaning of the PROG Act, not "Online Money Games."
(b) Pearls are non-monetary, non-convertible internal engagement units. They do not constitute "other stakes" within Section 2(x) of the PROG Act.
(c) No game on the Platform requires monetary payment as a condition of participation in prize draws. All prize-eligible games are accessible through activity-based Pearl earning.
(d) The Annual Maha Jackpot and all other prize draws are promotional contests under the Consumer Protection Act, 2019 — not Online Money Games.
(e) The Company will comply with all PROG Act and PROG Rules requirements as and when applicable, and will notify users of material compliance-driven changes per Clause 12.3.
15.2 Voluntary OGAI Registration: The Company intends to voluntarily register with the Online Gaming Authority of India (OGAI) upon reaching applicable subscriber thresholds. Registration status will be displayed in the app and on the website.
15.3 User Obligations: You must not represent any SeekhoBecho gamification feature as an Online Money Game to any third party, regulatory authority, or consumer forum. Doing so constitutes a breach of these Terms and may expose you to legal action.
SECTION 16 · ACCOUNT SUSPENSION AND TERMINATION
16.1. Our Right to Suspend or Terminate
We may suspend or terminate your account immediately and without prior notice for: (a) breach of these Terms or any Plan Agreement; (b) fraudulent, abusive, or illegal activity; (c) multiple account creation; (d) chargeback initiation; (e) submission of false KYC documents; (f) abusive behaviour towards our personnel; (g) court order or regulatory directive.
16.2. Consequences
On suspension or termination: (a) all access to the Platform and its services ceases immediately; (b) all Pearl balances are permanently forfeited; (c) all pending prize claims are cancelled; (d) no refund of any amount is due; (e) surviving obligations (IP, confidentiality, non-compete where applicable, dispute resolution, anti-defamation) continue.
16.3. Anti-Defamation Covenant (2-Year Post-Termination)
Following termination or expiry of your account or subscription, you undertake not to make, publish, or cause to be published any false, defamatory, misleading, or damaging statement about the Company, its products, services, or personnel — on any channel including social media, consumer complaint portals, public forums, or news media — for a period of two (2) years. This covenant survives termination.
SECTION 17 · DISPUTE RESOLUTION
17.1. Internal Grievance — Mandatory First Step
All disputes, concerns, or complaints must first be raised through our internal grievance mechanism before any external action. Grievance Officer: Venjula, reachable at [email protected] or [email protected]. Response commitment: 48 hours. Resolution target: 30 business days. Failure to use internal mechanism before external action constitutes a breach of these Terms.
17.2. Mediation
If a dispute is not resolved through internal grievance within 30 business days, either party may propose mediation through a mutually agreed mediator in Gurugram, Haryana.
17.3. Binding Arbitration
All disputes not resolved through mediation shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996. Sole arbitrator (mutually appointed). Seat: Gurugram, Haryana. Language: English. The arbitral award shall be final and binding.
17.4. Cyber Complaint Pre-Waiver
You irrevocably waive the right to initiate any cybercrime complaint, police complaint, or First Information Report (FIR) against the Company or its directors, officers, or employees in relation to any dispute arising from these Terms or your subscription, where such dispute: (a) pertains to Pearl balance, gamification outcomes, or prize eligibility; (b) relates to service features or modifications; or (c) arises from enforcement of the no-refund or termination provisions. This waiver does not apply to genuine criminal conduct unrelated to commercial disputes.
17.5. False Complaint Barrier
Filing a false, malicious, or frivolous complaint — consumer complaint, police complaint, or cyber complaint — against the Company or its personnel in relation to a commercial dispute governed by these Terms constitutes a breach and shall expose you to civil proceedings for damages, legal costs, and criminal proceedings under applicable laws.
17.6. Class Action Waiver
Consumer Forum Path (Consumer Protection Act, 2019): After exhausting internal grievance, Subscribers may approach: DCDRC (claims ≤₹50L — edaakhil.nic.in), SCDRC (₹50L–₹2Cr), NCDRC (above ₹2Cr — ncdrc.nic.in). National Consumer Helpline: 1800-11-4000 (toll-free) | consumerhelpline.gov.in.
All disputes shall be resolved on an individual basis only. You waive the right to participate in any class action, collective proceeding, or representative action against the Company.
17.7. Limitation Period
No claim arising from these Terms or your use of the Platform shall be brought more than one (1) year after the date on which the cause of action arose.
SECTION 18 · GENERAL PROVISIONS AND DYNAMIC PLATFORM CLAUSES
DYNAMIC PLATFORM, REGULATORY ADAPTATION & USER OBLIGATIONS
A. Dynamic Platform & Feature Modification
The Platform's features, gamification mechanics, Pearl earn triggers, redemption options, game formats, prize structures, subscription benefits, and all other service elements are subject to continuous modification, addition, suspension, or removal at our sole discretion, with or without prior notice. No feature constitutes a guaranteed, fixed, or perpetual entitlement. Continued use = irrevocable acceptance of all modifications.
B. Regulatory Adaptation
Any new law, regulation, or judicial pronouncement that renders any Platform feature or provision non-compliant shall cause that feature/provision to be automatically modified, suspended, or removed. You are automatically bound from the operative date of such change.
C. Regulatory Termination
Where any new regulation makes continued service provision unlawful (Regulatory Termination Event), your subscription may terminate automatically — zero Company liability, no refund, all Pearls lapse.
D. Deemed Acceptance
Acceptance of these Terms = deemed acceptance of all Plan Agreements, Platform Policies, Privacy Policy, and all future amendments. Acceptance is whole and unconditional.
E. User's Timely Obligations
Time is of the essence for all user obligations. Failure within prescribed timeframes results in automatic forfeiture with no recourse.
18.7. No Oral Modifications — WhatsApp, Agent Calls, Social Media
No statement, promise, representation, commitment, or modification — whether made verbally, via WhatsApp, SMS, email, phone call, agent interaction, social media message, live video, YouTube, Instagram DM, or any other informal channel — by any Company representative, agent, contractor, influencer, or affiliate shall be legally binding on the Company or constitute a modification of these Terms or any Plan Agreement. The only valid modifications to these Terms are those made in writing and signed by an authorised officer of RLS Retail Private Limited.
IMPORTANT: If any agent (SHAURYA, VIVAAN, VIREN, ARYAN, RM, or any Company representative) makes any verbal promise, commitment, or representation that differs from these Terms or your Plan Agreement — that promise is NOT enforceable. These Terms and your Plan Agreement constitute the complete and exclusive statement of the agreement between us.
18.8. Electronic Records as Conclusive Evidence
Platform-generated electronic records — including but not limited to: OTP generation and verification logs; payment confirmation records; Pearl earn and spend transaction logs; KYC document submission timestamps; device fingerprints and IP address logs; gamification activity records; in-app acceptance clicks and acknowledgement records; subscription activation and renewal logs — constitute conclusive, irrefutable evidence of the relevant activity and the User's consent thereto. No claim that any activity did not occur, or that consent was not given, shall be entertained by the Company or any forum in the face of such electronic records. Such records shall be admissible in any dispute resolution proceeding under the Indian Evidence Act, 1872, and the Information Technology Act, 2000.
18.9. Entire Agreement — Supersession of Prior Communications
These Terms — together with the applicable Plan Agreement, Platform Policies 17–23, and the Privacy Policy — constitute the entire agreement between you and the Company with respect to your use of the Platform. This Agreement supersedes ALL prior and contemporaneous negotiations, representations, statements, promises, understandings, and communications between the parties — including those made through: WhatsApp messages, Instagram advertisements, Facebook posts or ads, YouTube videos, agent phone calls, webinars, demo sessions, referral explanations, onboarding conversations, or any other channel. No prior communication creates any warranty, obligation, or right not expressly stated in these Terms or your Plan Agreement.
SUBSCRIBER NOTE: Before accepting, please ensure you have read these Terms and your Plan Agreement carefully. Any expectation not expressly written in these documents — regardless of what was said to you verbally or on social media — is not legally binding on the Company.
18.10. App Store and Play Store Distribution
The SeekhoBecho.com mobile application is distributed through the Apple App Store and Google Play Store. Your download and use of the app is also subject to the applicable terms of Apple Inc. and Google LLC respectively. In the event of any conflict between Apple's App Store Terms or Google's Play Store Terms and these Terms, these Terms shall govern the contractual relationship between you and the Company. Apple Inc. and Google LLC are not parties to these Terms, are not responsible for the Platform or its content, and have no obligation to provide any maintenance or support services for the app. Any claims relating to the app must be directed to the Company and not to Apple Inc. or Google LLC.
18.11. Governing Language
These Terms are drafted and executed in the English language. Any Hindi, regional language, or translated versions of these Terms or the Platform's communications are provided for convenience only and have no legal force. In the event of any inconsistency or conflict between the English version and any translation, the English version shall prevail and govern. No translation shall be relied upon as a representation of the Company's legal obligations.
18.1. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to arbitration, the courts at Gurugram, Haryana shall have exclusive jurisdiction.
18.2. Severability
If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
18.3. Waiver
Our failure to enforce any provision does not constitute a waiver. All waivers must be in writing.
18.4. Entire Agreement
These Terms + applicable Plan Agreement + Platform Policies + Privacy Policy = entire agreement between you and the Company for your use of the Platform.
18.5. Assignment
You may not assign these Terms or your account without written consent. We may assign our rights and obligations to any successor entity.
18.6. Force Majeure
We are not liable for delay or failure due to causes beyond our reasonable control, including natural disasters, government actions, third-party platform changes, or telecommunications failures.
